Valdem\u0101ra Street 21-19, Riga, LV-1010, Latvia (hereafter, PEERO)<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>General Information<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>We are hereby informing you that by logging into https:\/\/happy.peero.app\/ and https:\/\/portal.peero.app\/ (hereafter, the App portals), installing the Peero telephone application (hereafter, the Phone App), or by installing, copying, downloading or in any other way using the services on the App portals or in the Phone App (hereafter, Peero App), provided by PEERO, you agree to the following binding terms and conditions (hereafter, the Agreement), thereby becoming the user of the App portals, Phone App and Peero App.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>This Agreement shall take effect at the moment, when you as the user (hereafter, the User) join the Peero App and become member of the Peero community. The Agreement will remain effective for as long as the User uses the App portals, Phone App and\u00a0Peero App.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO shall be entitled to modify this Agreement, at its own discretion, at any time, and the User, in all cases, will be liable for observance of the terms and conditions of use hereof. If you continue using the App portals, Phone App and\u00a0Peero App, it will be considered that you have accepted the amendments and changes in the Agreement.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Peero App<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>Peero is the next generation tool for involvement, motivation, feedback and gamification for company employees, staff and students of educational institution, or any other group of persons (hereafter, Peero Activities). The App portals and the Phone App ensures\u00a0Peero App, helping the participants of the group to take part in Peero Activities, as well as to administer, organize and document such Peero Activities and data related thereto. Please refer to our Privacy Policy (Privacy Note) to view the list of data processed by\u00a0Peero App, processing goals and purposes, as well as other terms and conditions for processing such data.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Peero App\u00a0is licensed in accordance with the rights of use applicable thereto, as specified in these terms and conditions.<\/p><p>It shall be the duty of the User to observe all technical restrictions of\u00a0Peero App, prescribing the use thereof in certain ways, and, in this respect, inter alia, it shall be prohibited to: modify the functionality of\u00a0Peero App, circumvent the technical means of security of\u00a0Peero App, increase the number of users using the terminal services, modify, copy or reproduce\u00a0Peero App\u00a0in any manner whatsoever.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO shall be entitled to modify the functionality of\u00a0Peero App\u00a0at any time, at its own discretion. You will be informed about introduction of such modifications before you repeatedly enter\u00a0Peero App or by the legal entity or educational institution who invited you to join Peero community. If you continue using\u00a0Peero App, it shall be considered that you have accepted such modifications.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>You do not need to install\u00a0Peero App\u00a0to use it on the App portals. In turn, to use\u00a0Peero App\u00a0in the Phone App, you need to install it in your phone.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Terms of Use of Peero App<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>Peero App\u00a0is not intended for children under 13 years of age.<\/p><p>The User may start using\u00a0the Peero App as soon as he\/she has received\u00a0Peero App\u00a0access data from PEERO or Administrator.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User is allowed to use, access, operate and perform other activities with Peero App, including but not limited to submitting tasks in the &#8220;Challenges&#8221; feature and redeeming rewards in the &#8220;Gift Shop,&#8221; at his\/her own discretion, in computers, workstations, laptops, and telephone devices, provided that such use corresponds to the terms and conditions of Peero App, as well as terms of the Privacy Policy (Privacy Note).<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User shall ensure that all submitted content complies with applicable laws, including copyright and intellectual property regulations. The User is obligated to reflects respectful behaviour towards others and the platform. It is prohibited to submit content on the platform that:<\/p><\/td><\/tr><tr><td width=\"48%\"><ol><li>Contains nudity or sexually explicit material.<\/li><li>Depicts or promotes offensive language, imagery, or behavior.<\/li><li>Includes photos, videos, or other forms of content that might be deemed offensive or inappropriate according to widely accepted community standards.<\/li><li>Includes photos, videos, or other forms of content in which identifiable individuals are visible unless explicit consent from those individuals has been obtained.<\/li><li>Contains personal information of others without their explicit consent.<\/li><\/ol><\/td><\/tr><tr><td width=\"48%\"><p>By submitting content, the User acknowledges and warrants that the content aligns with these restrictions. Failure to comply may result in content removal, account suspension, or other actions as deemed necessary by the service administrator.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Peero App\u00a0shall be used only through the access accounts granted to the User. The User shall not be entitled to authorize any third party to use\u00a0Peero App\u00a0in a manner not corresponding to the agreement regarding the\u00a0Peero App\u00a0hosting services.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User will be entitled to use any version of\u00a0Peero App, which the User has received under subscription of his\/her Peero community, or the upgrades, release versions or add-ons thereof released during the term of validity of the Agreement. Please note that the availability of\u00a0Peero App\u00a0services on the App portals and in the Phone App may differ.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>When the activities with\u00a0Peero App\u00a0are performed in the registered User profile, using the correct username and password, it shall be regarded that such activities in Peero App have been performed by the registered User him\/herself or by the duly authorized representatives thereof.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Administrative Management of Peero App<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>You use Peero App as part of certain Peero community you have been invited to join. Accordingly, administrative supervisor (hereafter, the Administrator) of the particular Peero community is the legal entity or educational institution who acquired Peero App from PEERO.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Considering this, please contact your Administrator if you have questions regarding use of Peero App and\/or inclusion and processing of personal data in\u00a0Peero App.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Reservation of Rights<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>Peero App\u00a0shall be licensed as a single product. All title to Peero shall always remain with PEERO, no title, in full or partially, shall devolve to the User during the term of validity of this Agreement or at any time after the termination of the Agreement.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Intellectual Property<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User and PEERO hereby mutually recognize that the App portals, the Phone App and\u00a0Peero App\u00a0contain copyrighted works (software code, design elements, etc.), industrial design objects (goods and service marks, inventions, etc.), processes, methods, trade secrets, know-how, etc. (all jointly hereinafter referred to as the Intellectual Property). All rights and\/or Intellectual Property rights to\u00a0Peero App\u00a0(inter alia, images, photos, animations, video, audio, music, text and other attachments, included in\u00a0Peero App), program product dossier and copies shall be owned by PEERO.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User hereby accepts that any and all rights, inter alia, Intellectual Property rights, which might become available to the User during the use of the App portals, the Phone App or\u00a0Peero App, as well as any Intellectual Property is protected by local and international laws and regulations governing the protection of the intellectual property, and the treaties.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User hereby represents that, when using the App portals, the Phone App and\u00a0Peero App, he\/she will observe the applicable laws and respect the Intellectual Property rights of PEERO. The Agreement shall not grant to the User the rights to use any of such properties in any manner other than prescribed by the terms and conditions contained herein.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Duties, Warranties and Responsibility of the User<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>Save as expressly stated in the Privacy Policy (Privacy Note), the User shall intentionally and freely assume all risk, when using the App portals, the Phone App and\u00a0Peero App, and agrees that PEERO shall not be liable for any content or data of the User or any representatives and affiliates thereof, being recorded, processed, stored or otherwise used in\u00a0Peero App. The User hereby agrees to reimburse, indemnify, hold PEERO harmless and protect PEERO and its representatives, employees, affiliated enterprises and lawful assigns of rights and obligations thereof against any and all claims, litigation, losses and\/or lost profit, loss of privacy, or other damage or harm caused to the User or any third party that might pertain to such use of the App portals and\/or the Phone App, and\/or\u00a0Peero App.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Where\u00a0Peero App\u00a0has been used by the third party instead of the User, the User will be liable for the activities performed by such third party.<\/p><p>By agreeing to the terms and conditions of this Agreement, the User represents and warrants to PEERO that:<\/p><\/td><\/tr><tr><td width=\"48%\"><ul><li>all User information submitted to PEERO is valid, complete, and correct and that the User information will be updated to preserve the completeness and accuracy thereof. The User hereby represents that no false content will be provided. In the event it becomes obvious to PEERO that the provided information is not true or accurate, PEERO shall be entitled to refuse access to the App portals, the Phone App and Peero App or, at any time, to terminate or suspend the access to Peero App;<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she will not use Peero App for processing and storing personal data of any natural persons (as prescribed by any applicable data protection laws). The sole personal data that may be entered and stored in Peero App shall be User data of the particular Peero community submitted to Administrator, in order to activate the User accounts and ensure cooperation of the Peero community in the Peero App, as well as data the processing whereof in Peero App is provided for in the Privacy Policy (Privacy Note);<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she will store and administer any content without including personally identifiable information, except for data provided for in the Privacy Policy (Privacy Note);<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he \/ she will not enter into the Peero App any third party information, including information containing confidential information and data, and trade secrets of third parties;<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she is aware of and undertakes to act in accordance with the prohibition to share access information (username and password) with any other persons;<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she shall not transfer Peero App or the use thereof to the third parties in any manner not corresponding to the terms and conditions contained herein;<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she will immediately report to the Administrator (or if the Administrator is not available, to PEERO at <a href=\"mailto:support@peero.app\">support@peero.app<\/a>) any unauthorized use of the User account, loss of access \/ or password of the User, or any other circumstances that might give rise to unauthorized use of the User account;<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>he\/she will not take any actions directed against PEERO or its shareholders, management board, employees or other stakeholders, which directly or indirectly pertain to the use of Peero App and are not related to a blameworthy action on the part of PEERO.<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><ul><li>The User may not assign this Agreement, or the duties of the User prescribed herein, to any other person.<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Disclaimers \/ Limitation of Liability<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User shall be fully liable for maintaining the confidentiality of passwords. PEERO will not be liable for any losses incurred by the User due to the access of other persons to the account of the User \u2013 with or without the knowledge of the User.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The User can be deemed liable for any losses incurred by PEERO and\/or its representatives, affiliated enterprises and employees, considering the use of the User account performed by a third party and\/or use of Peero App by User him-\/herself contrary to the terms and conditions established hereby.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO will not be liable for any losses or damage, or data leak that can be incurred by any User as a result of incorrect use of\u00a0Peero App\u00a0or any other services ensured therein.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO shall carry out technical supervision of\u00a0Peero App. However, in light of the features of the provided App portals, Phone App and\u00a0Peero App, PEERO shall not represent and\/or warrant an uninterrupted or error-free use thereof for the User, that the defects would be rectified, or that the App portals and\/or the Phone App, and\/or\u00a0Peero App\u00a0is free of viruses or any other harmful elements.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO shall not represent the fitness of the App portals, the Phone App,\u00a0Peero App\u00a0and other services ensured on the App portals or in the Phone App for any other purposes, reliability, availability, timeliness, safety and accuracy thereof, other than expressly prescribed by this Agreement. PEERO shall not be liable for disputes or losses arising from user interactions or transactions within the &#8220;Gift Shop&#8221; or task submissions in the &#8220;Challenges&#8221; feature, except as prescribed by law.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO and\/or its representatives shall not, in any case, be liable for any fines, any direct, indirect, incidental, or consequential losses, including, but not limited ungained profit, lost reputation, pertaining or in any manner related to the use or performance of\u00a0Peero App, or any other services of the App portals and\/or the Phone App, with delay, provision of the services or failure to provide the services, inability to use the services, based on contract, due to violation, negligence or otherwise, even if PEERO has been aware of the possibility of such losses, in any manner other than prescribed by law.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The Administrator is responsible for managing the &#8220;Gift Shop&#8221; and &#8220;Challenges&#8221; features of the Peero App. This includes overseeing the selection and curation of gift items to be displayed in the &#8220;Gift Shop,&#8221; ensuring their availability, and managing the delivery process to the Users.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Furthermore, the Administrator is responsible for defining tasks for employees within the &#8220;Challenges&#8221; feature, formulating tasks in free text, and attaching supporting elements such as images or web links. The Administrator also reviews and approves proofs of task completion submitted by the Users, with such proofs being securely stored in the client-specific database.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>If necessary, the Administrator must make corrections to the &#8216;Gift Shop&#8217; and &#8216;Challenges&#8217; features in the Peero application to ensure that users comply with the terms of use.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Should any disputes or concerns arise regarding the offerings, operations, or functionality of these features, such matters shall be directed exclusively to the Administrator for resolution.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>PEERO does not engage in content moderation within the News feed section of the Peero App. Users retain the ability to edit or delete their own messages and comments. Additionally, the Administrator possesses the authority to delete messages and comments in adherence with the internal policies and regulations established by the Administrator.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>The total liability of PEERO for any claims that might be related to\u00a0Peero App, the App portals, the Phone App, support or other products or services, which are or would be provided by PEERO under this Agreement, will, in any case, be limited to the amount of subscription fee for one user of the Peero App for 12 (twelve) months.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Liability of PEERO in respect to data processing in the Peero App is set out separately &#8211; in the Privacy Note.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Governing Law and Dispute Resolution<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>The provisions of this Agreement shall be governed by the laws of the Republic of Latvia. The provisions of this Agreement shall be mutually severable, and, should any of the provisions of this Agreement become invalid or unenforceable, this provision can be excluded, and the remaining provisions shall apply, or, upon agreement between the parties, the most suitable norms of law shall apply.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>Any disputes, discussions or claims arising out of this Agreement, related to the violation, termination, or validity thereof, shall be subject to final settlement by courts of Latvia. However, at the first stage any such disputes shall be subject to resolving by way of mutual negotiations between the legal entity or educational institution running administration of particular Peero community and the User. PEERO will get involved only if invited to such negotiations by the Administrator.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p><strong>Termination of the Subscription License and the Services<\/strong> <strong>Available on the <\/strong>App portals<strong> and \/ or in the Phone App<\/strong><\/p><\/td><\/tr><tr><td width=\"48%\"><p>In the event of violation of the terms and conditions of the Agreement, the access of the User to Peero App shall automatically terminate, without further notice from PEERO.<\/p><\/td><\/tr><tr><td width=\"48%\"><p>In the event, if this Agreement is terminated:<\/p><\/td><\/tr><tr><td width=\"48%\"><ul><li>the rights granted by one party to the other party shall be immediately terminated, inter alia, with respect to your rights to the availability of Peero App,<\/li><\/ul><\/td><\/tr><tr><td width=\"48%\"><p>PEERO will be entitled to delete User data from the systems immediately.<\/p><\/td><\/tr><tr><td width=\"48%\">\u00a0<\/td><\/tr><tr><td width=\"48%\"><p>Latest updates introduced in April 2025<\/p><\/td><\/tr><\/tbody><\/table><\/div>\n\t\t\t\t\t\t\t\t\t<div class=\"elementor-tab-title elementor-tab-mobile-title\" aria-selected=\"false\" data-tab=\"2\" role=\"tab\" tabindex=\"-1\" aria-controls=\"elementor-tab-content-6482\" aria-expanded=\"false\">Latvie\u0161u<\/div>\n\t\t\t\t\t<div id=\"elementor-tab-content-6482\" class=\"elementor-tab-content elementor-clearfix\" data-tab=\"2\" role=\"tabpanel\" aria-labelledby=\"elementor-tab-title-6482\" tabindex=\"0\" hidden=\"hidden\"><table width=\"100%\"><tbody><tr><td width=\"51%\"><h3><strong>VISP\u0100R\u012aGIE NOTEIKUMI UN NOSAC\u012aJUMI<\/strong><\/h3><\/td><\/tr><tr><td width=\"51%\"><p>SIA &#8220;Peero&#8221;, re\u0123.
